Terms & Conditions

These Terms and Conditions govern all business transactions and communications between UNICOLOR BAGS ("we", "us", "our") and our clients, distributors, retailers, and wholesalers ("you", "buyer", "client"). By placing an order with us, you agree to these terms.

1. General

UNICOLOR BAGS is a manufacturer and wholesale supplier of bags including school bags, travel bags, custom bags, and more, based in Mumbai, Maharashtra, India. We supply exclusively to businesses (B2B) — retailers, wholesalers, distributors, and institutions.

• All business is conducted in Indian Rupees (INR).
• We are a GST registered business (GSTIN: 27AEWPA6484J1ZU).
• Orders are accepted via WhatsApp, phone, or email.
• These terms apply to all oral and written agreements unless explicitly stated otherwise.

2. Orders & Minimum Order Quantity

All orders are subject to availability and confirmation from UNICOLOR BAGS.

• Minimum order quantity (MOQ): 50 pieces per design/colour for standard products.
• For custom/branded bags, MOQ is 100 pieces.
• Orders below MOQ may be accepted at a premium at our discretion.
• Order confirmations will be communicated via WhatsApp or email within 24–48 hours.
• UNICOLOR BAGS reserves the right to refuse any order without providing a reason.

3. Pricing

• All prices quoted are exclusive of GST unless stated otherwise.
• Prices are subject to change without prior notice for future orders.
• Confirmed orders will be billed at the price agreed at the time of order confirmation.
• Shipping and logistics costs may be additional, depending on order size and destination.

4. Payment Terms

Secure and timely payment is required for order processing.

• New buyers: 100% advance payment before production/dispatch.
• Regular buyers (upon mutual agreement): 50% advance + 50% before dispatch.
• Accepted payment methods: Bank transfer (NEFT/RTGS/IMPS), UPI, and cheque (subject to clearance).
• GST invoice will be issued for every transaction.
• Delays in payment may result in order cancellation or suspension of services.

5. Shipping & Delivery

• We ship across India via reputed courier and freight partners.
• Standard delivery: 7–15 working days after payment confirmation and production completion.
• Delivery timelines are estimates and may vary due to logistics or unforeseen circumstances.
• Shipping risk passes to the buyer upon dispatch. We are not responsible for damage by courier.
• UNICOLOR BAGS is not liable for delays caused by courier companies, natural disasters, or government restrictions.
• Tracking details will be shared upon dispatch.

6. Returns & Cancellations

We take quality seriously. In case of manufacturing defects, we offer the following:

• Returns accepted only for manufacturing defects reported within 48 hours of delivery with photographic evidence.
• No returns for change of mind, design preference, or incorrect size ordered by the buyer.
• Defective items will be replaced or credited toward future orders — no cash refunds.
• Custom/branded orders are non-cancellable once production begins.
• Standard order cancellations must be made within 24 hours of order confirmation. Advance amount may be forfeited for late cancellations.

7. Custom Orders

• Custom bag manufacturing is available with a minimum order of 100 pieces.
• Design approval is mandatory before production begins. Any changes after approval will attract additional charges.
• A physical sample may be provided (at cost) before bulk production upon request.
• Custom order lead time: 15–25 working days depending on design complexity.

8. Quality

We are committed to consistent quality. All products are inspected before dispatch. Minor colour variations due to manufacturing or photography are not considered defects.

9. Intellectual Property

All product designs, images, and branding of UNICOLOR BAGS are our intellectual property. Unauthorized use, copying, or reproduction is strictly prohibited.

10. Limitation of Liability

UNICOLOR BAGS shall not be liable for any indirect, incidental, punitive, or consequential damages arising from business dealings. Our maximum liability is limited to the invoice value of the disputed goods.

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the jurisdiction of courts in Mumbai, Maharashtra.
